The Board of Directors is Clalit Health Services' most senior managerial forum. It is responsible for planning policy and supervising management. Members of the Board of Directors are representatives of the public, and are appointed by a public body headed by a retired judge. A third of the Board's members are appointed by the New Histadrut (General Federation of Labor) after their qualifications have been approved by the public body. Clalit's Director General serves as a Member on the basis of his position. Clalit's Board of Directors convenes once a month.

Main Responsibilities:

  • Plans and approves Clalit's managerial, budgeting and health services.
  • Appoints the Director General, determines the term of his tenure and employment.
  • Approves the Director General's proposals for appointments of senior officeholders.
  • Approves the Director General's proposals for Clalit's work plans.
  • Approves Clalit's budgets.
  • Approves Clalit's financial statements.
  • Approves the organizational framework of management and its principal units.
  • Appoints Clalit's internal auditing function, determines its format, organization and budget, and approves the internal auditor's annual internal audit plan.

To make its work more efficient, the Board of Directors appoints, from among its members, various committees to deal with finance, internal controls, human resources, organization, services etc.

Eli Admoni, Chairman of the Council and Board of Directors

Education: Law - Hebrew University of Jerusalem; Business Administration - University of Manitoba, Canada. Positions in the business sector: Chief Executive Officer of Abic Ltd., Rafa Laboratories Ltd., and Caniel Ltd. President of Bio-Technology General [Israel] Ltd. Chairman and Member of various Boards of Directors. Recipient of the Israel Prize for Industry,

Serves as a member of Clalit's Board of Directors from December 1995, as acting Chairman of the Council and Board of Directors from October 2005 and as Chairman from January 2008.

 

Eli Defes, Director General

Education: Master of Arts, Political Science - Bar-Ilan University; Bachelor of Arts - Political Science and Sociology – University of Haifa. Graduate of the National Defense College

Positions at Clalit: Deputy Director General, Head of Clalit's community health services from 2005 and up to 2007, Director of Clalit's Jerusalem District from 1996 and up to 2005. Serves as a member of Clalit's Board of Directors on the basis of his position as Director General from October 2007.

 

Zvi Aldoroti

Education: Bachelor of Arts, Political Science and Public Administration – University of Haifa.

Public positions: Director General, Office of the Prime Minister, Member of the Israel Knesset, Head of Migdal Ha'emek's City Council. Serves as a member of Clalit's Board of Directors from February 2008.

 

Arie Zafran

Education: Bachelor of Arts, Political Science and Sociology - Hebrew University of Jerusalem; Master of Science, Management Studies and Human Relations - Technion, Haifa.

Business and public experience: various positions in management and human resources at Israel Aircraft Industries. Consultant - development of managerial resources at Mizrahi Bank. Serves as a member of Clalit's Board of Directors from December 1995.

 

Amos Yarkoni

Education: Master of Arts, Labor and Management Studies - University of Michigan, United States.

Business and public experience: Chairman of the Haifa Culture and Arts Company, Director of Azorim, currently an independent executive and member of the academic staff of University of Haifa. Serves as a member of Clalit's Board of Directors from December 2007.

 

Advocate Margalit Nof

Education: LLB - Tel Aviv University, Advocate

Business and public experience: Legal Counsel and Corporate Secretary, Israel Military Industries Ltd., Member of the Boards of Directors of various public companies – Ashot Ashkelon Industries Ltd., Tadiran Kesher. Chair of the National Institute for Rehabilitation of the Brain Injured. Member of various public committees, and currently serves as Chair of the Share Committee of Bank Leumi Le'Israel. Serves as a member of Clalit's Board of Directors from December 2007

 

Osama Hassan, CPA

Education: BA in Economics and Accounting, Haifa University. Professional and Public Experience: Manages a Self-Employed Accountancy Firm since 1984; Board Member of Clalit 1995-2003; Board Member of Arab Israel Bank Ltd. 1998-2002; Board Member of Clal Insurance Company since 2006; and Board Member of Clalit since September 2012.

 

Dr. Hanita Zimrin

Education: PhD in Social Work, The Hebrew University of Jerusalem. Professional and Public Experience: Founder and Director of Eli – Israel Association for Child Protection; Member of Public Forums on Legislation, Standards, Policy Formation, and Care in the field of Children and Adolescents; Member of the Israel's Agency for International Development Cooperation of the Ministry of Foreign Affairs (MASHAV), active in the teaching and consulting to establish infrastructures for child welfare services in third world countries; winner of the Distinguished Career Award from the International Society for Prevention of Child Abuse and Neglect; Board Member of Clalit since September 2012.
